1. Agreement to Terms; Acceptance

By clicking "I Agree," downloading, installing, or using LunoDB (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Software. If you are accepting on behalf of an entity, you represent that you have authority to bind that entity.

"Software" means the LunoDB desktop application for macOS, Windows, and Linux; the LunoDB mobile application for iOS and Android; and the LunoDB Cloud connection service used by the mobile application.

These Terms work together with our End User License Agreement (EULA). If there is a conflict between an executed order form and these Terms/EULA, the order form controls; otherwise, the EULA and these Terms both apply.

2. License Grant & Scope

2.1 Desktop Free Version

The desktop free version is licensed on a limited, non-exclusive, non-transferable, revocable basis for evaluation and general use, subject to feature limitations shown in the Software.

2.2 Desktop Pro License

Upon purchase, you receive a perpetual, non-exclusive, non-transferable license for one (1) named user to install and use the desktop Software on up to three (3) devices you own or control. Your Pro license includes lifetime updates as described in Section 10. The Software may include technical measures (e.g., license keys) to enforce limits.

2.3 Mobile Application

The LunoDB mobile application is provided free of charge with no feature limitations, in-app purchases, or subscription requirements. You receive a non-exclusive, non-transferable, revocable license to install and use the mobile application on any iOS or Android devices you own or control. The mobile application is a separate product from the desktop application and does not require a desktop Pro license.

2.4 License Restrictions

  • You may not reverse engineer, decompile, or disassemble the Software.
  • You may not rent, lease, sell, sublicense, or transfer the Software or license keys.
  • You may not modify or create derivative works of the Software.
  • You may not circumvent, disable, or tamper with technical protections, usage limits, or license management.
  • You may not publish or disclose benchmarking results without our prior written consent.

3. Acceptable Use

You agree to use LunoDB only for lawful purposes. You shall not:

  • Access databases without proper authorization or in violation of third-party terms.
  • Damage, interfere with, or impair any server, network, or service.
  • Attempt unauthorized access to any system or data through the Software.
  • Use the Software in violation of any applicable laws or regulations.
  • Share license keys or attempt to bypass license validation.

4. Payment Terms

4.1 Desktop Pro License

One-Time Purchase: The desktop Pro license is a one-time payment of $10 USD. Prices exclude taxes; you are responsible for applicable taxes and duties (other than taxes on our income).

Refund Policy: 30-day money-back guarantee. Contact [email protected] within 30 days of purchase for a full refund.

Lifetime Updates: Included as set forth in Section 10.

4.2 Mobile Application

The LunoDB mobile application is free. There are no in-app purchases, subscriptions, or fees. You are responsible for any data charges from your mobile carrier when using the app.

4A. Affiliate Program

The following terms apply if you apply to or participate in the LunoDB Affiliate Program (the "Program") at https://lunodb.app/affiliate. These terms supplement, and are in addition to, the rest of these Terms.

4A.1 Enrollment & Eligibility

The Program is open to individuals and entities that sign up via our affiliate portal. Enrollment is currently instant and open — new affiliates are auto-approved and can begin sharing their referral link immediately. You must (a) be at least 18 years old and have the legal capacity to enter into a contract, (b) not be a restricted party under any applicable export or sanctions law, and (c) provide accurate and complete information. LunoDB reserves the right to suspend or revoke any account, withhold unpaid commissions, and forfeit attributed sales at any time for breach of these Terms, fraud, abuse, or chargebacks, and may introduce review or approval steps for future applicants at its discretion.

4A.2 Commission

Approved affiliates ("Affiliates") earn a commission of 40% of qualifying net revenue from the first qualifying purchase of LunoDB Pro (or Pro Bundle) made by a referred customer. "Net revenue" means the amount actually received by LunoDB after applicable taxes, payment-processing fees, discounts or coupons, refunds, chargebacks, and reversals.

Subscriptions. For subscription plans, commission applies only to the initial subscription charge. Subsequent recurring charges (e.g., monthly or annual renewals) do not generate additional commission. A customer who later upgrades, downgrades, or switches plans does not generate additional commission on those later charges.

4A.3 Attribution & Cookies

Referrals are tracked on a last-click basis using our third-party affiliate platform, Affonso (https://affonso.io), which places an attribution cookie on the visitor's device for up to 30 days. A sale is attributed to you only if the buyer clicks your unique referral link and completes a qualifying purchase before the cookie expires, is cleared, or is overwritten by another affiliate's link.

4A.4 Payouts

Commissions are paid monthly via PayPal or bank transfer once you reach the minimum payout threshold shown in your Affonso dashboard. Commissions are held during the 30-day refund window and are automatically reversed if the underlying sale is refunded, charged back, or reversed for fraud. LunoDB may also withhold commissions pending verification of suspicious or policy-violating activity.

4A.5 Prohibited Promotion

You agree not to:

  • Bid on "LunoDB," "Luno DB," or confusingly similar terms (including misspellings) in paid search, social, or display advertising;
  • Register domains, social media handles, or app listings that incorporate "LunoDB" or confusingly similar marks;
  • Use deceptive, misleading, or fraudulent marketing practices, including false scarcity, fake reviews, or implied endorsement;
  • Send unsolicited email or messages in violation of CAN-SPAM, CASL, GDPR, or other anti-spam laws;
  • Promote via adult, hateful, violent, gambling, or otherwise unlawful content or sites;
  • Self-refer, or arrange for others to self-refer, in order to earn commissions;
  • Use incentivized-traffic schemes (cashback sites, coupon injection, browser extensions that rewrite referral links, toolbars, malware, adware) without LunoDB's prior written consent;
  • Offer unauthorized discounts, rebates, or coupons;
  • Misrepresent your identity, audience size, or relationship with LunoDB.

4A.6 Trademark & Asset License

LunoDB grants you a limited, revocable, non-exclusive, non-transferable license to use the LunoDB name, logos, screenshots, and approved marketing assets solely to promote the Program in compliance with these Terms. You may not modify, alter, or combine the assets with any third-party mark in a manner that implies sponsorship or endorsement. All goodwill from your use of LunoDB marks inures to LunoDB.

4A.7 Disclosure Requirements

You are solely responsible for disclosing your affiliate relationship with LunoDB in a clear and conspicuous manner as required by applicable law and guidance, including (without limitation) the U.S. FTC Endorsement Guides, the UK ASA/CMA rules, and comparable rules in your jurisdiction.

4A.8 Independent Contractor; Taxes

Your relationship with LunoDB under the Program is that of an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship. You have no authority to bind LunoDB. You are solely responsible for all taxes on commissions you earn, including applicable income, self-employment, sales, or value-added taxes.

Tax Forms & 1099s. Tax documentation (IRS Form W-9 for U.S. persons, IRS Form W-8BEN/W-8BEN-E for non-U.S. persons) is collected and managed by our affiliate platform partner, Affonso. Where required by law (including the annual threshold for U.S. Form 1099 reporting), Affonso will issue the applicable tax forms on our behalf. Payouts may be withheld until valid tax documentation is on file. You are responsible for keeping your contact, payout, and tax information up to date in your Affonso dashboard.

4A.9 Suspension, Termination & Program Changes

LunoDB may suspend or terminate your Affiliate account at any time for breach of these Terms, fraud, abuse, chargebacks, or any other reason in its sole discretion, and may forfeit any unpaid commissions associated with violating activity. LunoDB may also modify the commission rate, cookie window, payout methods, or discontinue the Program at any time on notice (including via the Affiliate dashboard or email). Qualifying commissions earned before a non-cause termination or Program discontinuation will be paid on the next regular payout cycle.

4A.10 Confidentiality

Non-public Program information — including custom commission rates, internal dashboards, unreleased promotions, and aggregate performance metrics — is confidential. You agree not to disclose or use such information except to participate in the Program.

4A.11 No Earnings Guarantee

LunoDB makes no representation or guarantee regarding the number of referrals, conversions, or commissions you will earn. Past performance is not indicative of future results.

4A.12 Indemnification

In addition to Section 16, you will indemnify, defend, and hold harmless LunoDB from any claims, damages, losses, costs, and expenses arising out of your participation in the Program, your promotional activities, your breach of this Section 4A, or your failure to comply with applicable disclosure, tax, or consumer-protection laws.

5. Database Operations & Data Responsibility — Critical

WARNING: The Software enables direct database access and execution of potentially destructive operations.

5.1 Your Sole Responsibility. You are solely responsible for all databases, data, credentials, and systems you access with the Software; for maintaining adequate and tested backups; and for all results of operations you initiate. LunoDB has no responsibility or liability for data loss, corruption, modification, deletion, downtime, or service interruption.

5.2 Operation Risks. Database operations may cause permanent, irreversible data loss or corruption; deletion of databases/tables/records; outages; and financial losses.

5.3 Production Warning. Use on production systems carries extreme risk. Test in development/staging, create complete backups, enforce least-privilege access, and maintain disaster-recovery plans.

5.4 No Data Recovery. LunoDB does not provide data recovery services and has no obligation to assist in recovery.

6. Privacy; Data Handling; Local Credentials

6.1 Desktop Application

  • Local Storage: Connection settings, preferences, and secrets/credentials are stored locally on your device.
  • Direct Connections: The desktop app connects directly from your machine to your database servers. We do not access, collect, store, or transmit your database contents or credentials.
  • Local Credential Protection: When available, the OS secure storage (e.g., Keychain/DPAPI/Keyring) is used to protect secrets at rest. If disabled or unavailable, secrets may be stored unencrypted and you assume the associated risks.
  • Telemetry & Analytics: The desktop Software may collect anonymous usage telemetry to improve product quality. Telemetry does not include personal data, database credentials, query contents, or database data. Telemetry can be disabled in Settings.

6.2 Mobile Application

  • Local Storage: Connection settings, credentials, query history, preferences, and AI API keys are stored locally on your device.
  • No OS Keychain: The mobile app stores credentials in the app's local storage, not in iOS Keychain or Android Keystore. You can enable biometric authentication (Face ID/Touch ID/fingerprint) to lock access to the app.
  • No Telemetry: The mobile app does not collect any usage telemetry, analytics, or crash reports.
  • LunoDB Cloud Connections: Due to mobile platform restrictions, remote database connections are routed through LunoDB Cloud (see Section 6B below).
  • Local SQLite: Local SQLite databases are accessed directly on your device without any data transiting LunoDB servers.

6.3 General

  • Third-Party Systems: You are responsible for compliance with privacy/security obligations for third-party databases you connect to.
  • AI API Keys: When you provide API keys for AI services, these keys are stored locally on your device and are never transmitted to LunoDB servers. You are solely responsible for managing, protecting, and maintaining compliance with your AI provider's terms of service.

6B. LunoDB Cloud (Mobile Connection Service)

6B.1 Service Description. LunoDB Cloud is a secure connection proxy service that enables the LunoDB mobile application to connect to remote databases. Due to iOS and Android platform restrictions that prevent direct database connections, LunoDB Mobile routes remote database connections through LunoDB Cloud.

6B.2 How It Works. When you connect to a remote database from the mobile app: (a) your database credentials are transmitted securely via TLS from your device through LunoDB Cloud to your database server; (b) SQL queries and results are transmitted through LunoDB Cloud; (c) all transmissions are encrypted end-to-end.

6B.3 What We Do Not Store. LunoDB Cloud does not log, store, or retain: your database credentials, SQL queries, query results, database contents, or any data from your database sessions. Connection sessions are ephemeral and not persisted.

6B.4 Your Responsibilities. You are responsible for: ensuring your use of LunoDB Cloud complies with your organization's security policies; using strong database credentials; and understanding that connection data transits LunoDB infrastructure even though it is not stored.

6B.5 Service Availability. LunoDB Cloud is provided "as is" without guaranteed uptime. We may modify, suspend, or discontinue LunoDB Cloud at any time. The mobile app may not function for remote databases if LunoDB Cloud is unavailable.

6B.6 Not Required for Local Databases. LunoDB Cloud is only used for remote database connections. Local SQLite databases on your mobile device do not use LunoDB Cloud.

6C. AI Features & Third-Party AI Services

6C.1 Third-Party AI Providers. The Software includes optional AI-powered features (natural language SQL generation, smart filtering, chat assistant) that integrate with third-party AI services. Use of these features requires you to provide your own API credentials and to comply with the respective AI provider's terms of service, acceptable use policies, and pricing.

Desktop Application supports: OpenAI, Anthropic Claude, Google Gemini, xAI Grok, DeepSeek, OpenRouter, Ollama (local AI), and custom OpenAI-compatible endpoints.

Mobile Application supports: OpenAI, Anthropic Claude, Google Gemini, and xAI Grok. DeepSeek, OpenRouter, Ollama, and custom endpoints are not available on mobile.

6C.2 Your Responsibility for AI Usage. You are solely responsible for:

  • Obtaining, managing, and securing API credentials for your chosen AI provider(s)
  • All costs, charges, and usage fees from your AI provider
  • Compliance with your AI provider's terms, usage limits, and acceptable use policies
  • Reviewing and verifying all AI-generated SQL queries, filters, and recommendations before execution
  • Ensuring data sent to AI providers complies with your privacy, security, and regulatory obligations

6C.3 Data Sent to AI Providers. When using AI features, the Software transmits only database schema information (table names, column names, data types, relationships) and your natural language queries to your configured AI provider. Your actual database data is never sent to AI providers. However, schema information may reveal sensitive details about your database structure. You are responsible for ensuring this transmission complies with your obligations.

6C.4 AI Output Disclaimer. AI-generated SQL queries, filters, and recommendations are provided "as is" without warranty. AI outputs may be inaccurate, incomplete, or potentially harmful. You must review all AI-generated content before execution. LunoDB has no liability for damages arising from AI-generated content, including data loss, corruption, unauthorized access, or service disruption.

6C.5 No LunoDB Liability for Third-Party AI Services. LunoDB is not responsible for: availability, performance, accuracy, pricing changes, or terms changes of third-party AI services; interruptions or failures of AI services; AI provider's handling of your data; or violations of AI provider terms.

6C.6 Local AI (Ollama). When using Ollama or other local AI services, you are solely responsible for installation, configuration, security, model selection, and compliance with applicable model licenses and terms.

6C.7 Opt-Out. AI features are entirely optional. You may choose not to configure or use AI features without affecting other Software functionality.

7. Security Obligations

You are solely responsible for securing database credentials, implementing appropriate network security, authorizing access, monitoring and logging activity, and complying with your organization’s policies.

8. High‑Risk Use Disclaimer

The Software is not designed for life/safety or other high‑risk uses (e.g., medical devices, aviation, nuclear). LunoDB disclaims all liability for such uses.

9. Open‑Source Components

The Software may include open‑source components governed by their respective licenses. Those licenses apply to the OSS components. A current list and notices are provided in the “Third‑Party Notices” file or in‑app.

10. Updates; Changes to Terms

Auto‑Updates: The Software may automatically install updates, which are part of the Software and subject to these Terms.

Term Changes: We may modify these Terms. Material changes will be notified in‑app or by email and become effective on the earlier of your next update/use after notice or 30 days after notice. If you object, stop using the Software and contact us.

11. Export Controls & Sanctions

You will comply with all applicable export control and sanctions laws (including U.S. and EU laws). You represent you are not a restricted party or located in an embargoed jurisdiction.

12. Compliance & Sectoral Laws

You are solely responsible for ensuring your use complies with applicable laws and industry rules (e.g., GDPR, HIPAA, SOX, PCI‑DSS). LunoDB is not a HIPAA Business Associate, and the Software is not designed for storage/processing of PCI cardholder data.

13. Intellectual Property; Feedback

LunoDB and its licensors own all right, title, and interest in and to the Software and related IP. You grant LunoDB a perpetual, irrevocable, royalty‑free license to use and exploit feedback and suggestions for any purpose.

14. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNODB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND UNINTERRUPTED OR ERROR‑FREE OPERATION. NO ORAL OR WRITTEN INFORMATION OR ADVICE CREATES ANY WARRANTY.

15. Limitation of Liability

Cap: To the fullest extent permitted by law, LunoDB’s total aggregate liability arising out of or related to the Software will not exceed the greater of (a) fees you paid for the Software in the 12 months before the event giving rise to liability, or (b) USD $100.

Exclusions: LunoDB is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, or business interruption; costs of substitute goods/services; or damages from unauthorized access to your systems.

Exceptions: These limitations do not limit liability that cannot legally be limited or excluded, or liability for willful misconduct or gross negligence.

16. Indemnification

You agree to indemnify, defend, and hold harmless LunoDB and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software, your violation of these Terms, or your database operations.

17. Termination

We may suspend or terminate your license immediately for breach or to prevent harm. You may terminate at any time by ceasing use and deleting all copies. Upon termination, you must uninstall and destroy the Software and related keys. Sections intended to survive will survive.

18. Dispute Resolution; Arbitration; Class Waiver; Opt‑Out

Governing Law: Delaware law (excluding conflicts rules).

Arbitration: Any dispute arising out of or relating to these Terms or the Software will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. Seat/Venue: Wilmington, Delaware. Judgment may be entered in any court of competent jurisdiction.

Class Action Waiver: Disputes must be brought in an individual capacity and not as a class or representative action.

Opt‑Out: You may opt out of arbitration (and the class waiver solely to the extent prohibited by law) by emailing [email protected] within 30 days of first accepting these Terms. If you opt out, exclusive jurisdiction and venue will be the state or federal courts in New Castle County, Delaware, and you consent to personal jurisdiction there.

Small Claims; Injunctive Relief: Either party may seek relief in small‑claims court or seek injunctive/equitable relief in court for IP infringement, misuse, or unauthorized access.

19. Business Users; Consumer Rights

The Software is offered for business/professional use. Nothing in these Terms limits non‑waivable consumer rights where applicable.

20. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., outages, cyberattacks, natural disasters, labor disputes), excluding payment obligations.

21. Assignment

LunoDB may assign these Terms (including in connection with a merger, acquisition, or asset sale). You may not assign without our prior written consent, and any prohibited assignment is void.

22. Government End‑Users

The Software is “commercial computer software” under FAR 12.212 and DFARS 227.7202. Government end‑users receive only those rights set forth in these Terms.

23. Time to Bring Claim

Any claim must be filed within 12 months after the cause of action accrues, or it is permanently barred, to the extent permitted by law.

24. Notices

Notices to LunoDB must be sent to [email protected] (deemed given upon receipt). We may provide notices via the Software, email, or your account.

25. Severability; Waiver; Entire Agreement; Order of Precedence

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. Failure to enforce is not a waiver. These Terms constitute the entire agreement regarding the Software and supersede prior or contemporaneous understandings. In case of conflict, an executed order form (if any) prevails over these Terms.

FINAL WARNING: DATABASE MANAGEMENT OPERATIONS CAN CAUSE IRREVERSIBLE DATA LOSS. USE AT YOUR OWN RISK. MAINTAIN VERIFIED BACKUPS.
